  9. This file, LICENSE.DOC, describes the terms and conditions by which Arrowhead
  10. Interactive ("Arrowhead") will license other parties to distribute this
  11. software program which is intended solely for distribution as "shareware"
  12. (the "Program").  No use, reproduction or distribution of the Program, or
  13. of copies of the Program, is authorized except in compliance with the terms
  14. and conditions set forth below.

  17. You may not distribute this program on CD-ROM or in any retail distribution
  18. channel without explicit written permission from Arrowhead Interactive.  See
  19. below for details.

  22. The Program is protected by copyright in the United States, as well as in
  23. other countries pursuant to international treaties. Arrowhead is the exclusive
  24. worldwide licensor of the Program, and the copyrights and other proprietary
  25. rights there in.  The Program is intended solely for distribution as
  26. "shareware" (i.e., "try-before-you-buy" software); it is NOT public domain
  27. or free software or "freeware".  Arrowhead encourages distribution of the
  28. Program in accordance with the provisions of this Software License Agreement.
  29. Any use, copying or distribution of the Program, or of any copies or elements
  30. thereof, that is not in compliance with the terms and conditions of this
  31. Agreement is prohibited.
  32.  
  33. Limited Distribution License:
  34.  
  35. Arrowhead authorizes distribution and/or copying of the Program only in
  36. accordance with the following terms and conditions (the "General Terms and
  37. Conditions") and with other terms and conditions set forth below that may
  38. be applicable:
  39.  
  40. 1.   Arrowhead Interactive shall be credited as the owner of the Program
  41.      in all distribution of the Program (which shall include, without
  42.      limitation, packaging, documentation, catalogs, program descriptions,
  43.      advertising, promotion and public relations).
  44.  
  45. 2.   The Program shall be identified by name and shall be expressly
  46.      identified as shareware (and not identified or described as "free
  47.      software", "public domain software", or the like) in all distribution.
  48.  
  49. 3.   The shareware concept shall be explained in reasonable detail in all
  50.      distribution (shareware is "try-before-you-buy" software, and the
  51.      price paid by users (if any) is a distribution charge only).
  52.  
  53. 4.   You may copy and/or distribute the Program only in its original,
  54.      unaltered form, with all files included unmodified, and without
  55.      making any additions, modifications or deletions except as provided
  56.      in this paragraph.  You may not modify the Program or any of its
  57.      files, and the Program must be distributed as a complete package. 
  58.      You may not change, delete, merge or rename any files or elements
  59.      of the Program in any manner, and you may not add any files or new
  60.      elements (except for installation routines which do not interfere with
  61.      the proper operation or installation of the Program).

  63. 5.   You may not decompile, recompile, disassemble, reverse engineer,
  64.      adapt or create derivative works of the Program or any files or
  65.      elements thereof except with Arrowheads's prior express written consent.
  66.  
  67. 6.   Since the Program is intended for distribution only as shareware, you
  68.      shall not charge any fee or other compensation for the Program,
  69.      although you may charge a distribution fee for costs associated with
  70.      distributing the Program.  You are permitted, and encouraged, to
  71.      make and distribute copies of the Program to your friends, family
  72.      members and co-workers without charge, for your and their private
  73.      noncommercial use, in compliance with the terms and conditions
  74.      hereof.

  76. 7.   In accordance with the "try-before-you-buy" philosophy behind the
  77.      shareware concept, Arrowhead strongly discourages charging users or
  78.      recipients more than $6.00 (U.S.) for distribution of the Program (or
  79.      any elements thereof).  If you charge more than $6.00 for
  80.      distribution of the Program or any elements thereof (inclusive of all
  81.      fees, costs, expenses and other charges, including without limitation
  82.      charges for copying, shipping, postage and handling, but not including
  83.      sales taxes), then you shall pay Arrowhead a royalty equal to fifty
  84.      percent (50%) of the excess of such charges above $6.00 with respect
  85.      to each individual user or recipient.  (By way of illustration and not
  86.      limitation, if you distribute the Program at a charge of $6.00 for
  87.      disks and $4.00 for shipping and handling (for a total of $10.00),
  88.      you shall pay Arrowhead a royalty of $2.00 with respect to each user or
  89.      recipient.)  In the event that such a royalty is payable to Arrowhead,
  90.      you shall provide Arrowhead with quarterly statements of account setting
  91.      forth the royalty owed in reasonable detail, accompanied by payment
  92.      thereof; and Arrowhead or its designee shall have the right to inspect and
  93.      audit your books and records from time to time to verify the amounts of the 
  94.      royalties due Arrowhead hereunder.
  95.  
  96. 8.   You may not remove or alter any copyright or trademark information
  97.      on the Program, and you must take reasonable steps to protect the
  98.      copyrights, trademarks and other rights of Arrowhead in the Program.
  99.  
  100. 9.   You recognize that your right to distribute the Program is
  101.      nonexclusive and that Arrowhead can terminate the license granted to you
  102.      hereunder at any time for any reason upon written notice.  Arrowhead
  103.      reserves the right to withhold or withdraw permission to distribute
  104.      the Program from anyone at any time for any reason.  The provisions
  105.      of paragraphs 4, 7, 13, 16, 17, 20, 21 and 22 hereof shall survive
  106.      any expiration or termination of this Agreement.
  107.  
  108. 10.  You shall take reasonable steps to ensure that the Program and any
  109.      other software, documentation and other materials distributed with
  110.      the Program are free from viruses.
  111.  
  112. 11.  This is the current version of the Program and all previous versions
  113.      of this Program have been withdrawn from distribution.  You shall
  114.      use reasonable efforts to distribute only the latest version of the
  115.      Program.  If you have a question about this, please contact Arrowhead to
  116.      confirm what is the latest version (currently found at
  117.      http://www.door.net/arrowhead).

  119. 12.  Your limited right to distribute under this Software License
  120.      Agreement is personal and does not include any right of sublicense.
  121.  
  122. 13.  You may not use, copy, modify, distribute or transfer the Program
  123.      or any element thereof in whole or in part, except as expressly
  124.      provided for herein.
  125.  
  126. 14.  You may not "rent" or "lease" the Program to anyone.
  127.  
  128. 15.  Any permission, consent or approval of Arrowhead referred to herein may
  129.      be granted or withheld in Arrowhead's sole discretion (and, unless
  130.      expressly granted in writing, shall be deemed to be withheld).
  131.  
  132. 16.  DISCLAIMER OF WARRANTY AND LIMITATION OF
  133.      LIABILITY:
  134.  
  135.      THIS PROGRAM IS PROVIDED "AS IS". ARROWHEAD INTERACTIVE,
  136.      MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND,
  137.      EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THIS
  138.      PROGRAM OR ANY FILES, DOCUMENTATION OR ELEMENTS
  139.      THEREOF OR RELATING THERETO OR ANY MEDIUM THE
  140.      PROGRAM MAY BE ON (INCLUDING, WITHOUT LIMITATION,
  141.      ANY WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A
  142.      PARTICULAR PURPOSE OR OF QUALITY OR PERFORMANCE).
  143.  
  144.      SUBJECT TO ANY CONTRARY PROVISIONS OF APPLICABLE
  145.      STATE LAW, IN NO EVENT WILL ARROWHEAD INTERACTIVE BE
  146.      LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL,
  147.      CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM
  148.      THE USE OF OR INABILITY TO USE THE PROGRAM OR ANY
  149.      FILES, DOCUMENTATION OR ELEMENTS THEREOF,
  150.      INCLUDING FROM NEGLIGENCE, STRICT LIABILITY, OR
  151.      BREACH OF WARRANTY OR CONTRACT, EVEN IF ARROWHEAD
  152.      INTERACTIVE IS ADVISED OF THE POSSIBILITY OF SUCH
  153.      DAMAGES.  IN PARTICULAR, ARROWHEAD INTERACTIVE IS NOT
  154.      RESPONSIBLE FOR ANY COSTS OR EXPENSES, INCLUDING
  155.      BUT NOT LIMITED TO THOSE INCURRED AS A RESULT OF
  156.      LOST PROFITS OR REVENUE, LOSS OF USE OF COMPUTER
  157.      PROGRAMS, LOSS OF DATA, THE COST OF A SUBSTITUTE
  158.      PROGRAM, OR CLAIMS BY THIRD PARTIES.
  159.      IN NO EVENT SHALL THE LIABILITY OF ARROWHEAD INTERACTIVE
  160.      FOR ANY DAMAGES EVER EXCEED THE PRICE PAID FOR THE
  161.      LICENSE TO USE THE PROGRAM, REGARDLESS OF THE FORM
  162.      OF CLAIM.  THE USER OF THE PROGRAM BEARS ALL RISK
  163.      AS TO THE QUALITY AND PERFORMANCE OF THE PROGRAM
  164.      AND ALL OTHER RISKS RELATING TO THE USE OF OR
  165.      INABILITY TO USE THE PROGRAM.  BECAUSE SOFTWARE IS
  166.      INHERENTLY COMPLEX AND MAY NOT BE COMPLETELY FREE
  167.      OF ERRORS, ALL USERS ARE ADVISED TO VERIFY THEIR
  168.      WORK AND TO MAKE BACK-UP COPIES.
  169.  
  170. 17.  This Software License Agreement shall be governed by and
  171.      construed in accordance with the internal laws of the State
  172.      of Maryland applicable to agreements entered into and wholly
  173.      to be performed therein, without reference to conflicts of
  174.      laws. It shall inure to the benefit of Arrowhead Interactive and its
  175.      successors and assigns.  With respect to every matter arising
  176.      under this Software License Agreement, you consent to the
  177.      jurisdiction and venue of the state and federal courts located
  178.      in Maryland, and to service by certified mail, return receipt
  179.      requested, or as otherwise permitted by law.
  180.  
  181. 18.  Arrowhead reserves the right to update the contents of the Program and/or
  182.      its associated files, documentation and/or other elements, at its
  183.      discretion from time to time, without the consent of, or any
  184.      obligation to, any licensed users or distributors.
  185.  
  186. 19.  All rights not expressly granted herein are reserved by Arrowhead
  187.      Interactive.
  188.  
  189. 20.  In the event of any violation of this Agreement or failure to comply
  190.      with any of the terms and conditions set forth herein, or any other
  191.      violation or infringement of any of Arrowhead's rights, Arrowhead shall have
  192.      available all rights and remedies at law and in equity.  Without
  193.      limiting the foregoing, in the event of any such violation or failure
  194.      to comply, then in addition to its other rights and remedies, if Arrowhead
  195.      so elects Arrowhead shall have the right to seek damages of not less than
  196.      the full registration fee for the registered version of the software
  197.      program with the same name as the Program, with respect to each copy
  198.      of the Program distributed or copied and/or each user or recipient to
  199.      whom the Program was distributed.  (By way of illustration and not
  200.      limitation, if the registration fee for the registered version is
  201.      $50.00 and distribution to 1,000 persons was made in violation of this
  202.      Agreement, then if Arrowhead so elects Arrowhead shall have the right to
  203.      seek damages of not less than $50,000 under the provisions of this
  204.      paragraph, in addition to its other rights and remedies at law or in
  205.      equity.)
  206.  
  207. 21.  You will hold Arrowhead, its officers, directors, employees, contractors,
  208.      attorneys, and agents, harmless from and against any and all claims,
  209.      actions, damages, losses, liabilities, costs and expenses (including
  210.      reasonable attorney's fees) arising directly or indirectly from your
  211.      acts and omissions in copying and distributing the Program (including
  212.      without limitation from any installation routine that you may add).
  213.  
  214. 22.  If any provision of this Agreement is held to be void, invalid or
  215.      unenforceable, it will not affect the validity of the balance of this
  216.      Agreement, which shall remain valid and enforceable according to its
  217.      terms and conditions.
  218.  
  219.  
  220. In addition to the above General Terms and Conditions, the following special
  221. provisions apply to the types of distribution set forth below:
  222.  
  223. Distribution by BBS's and Online Services:
  224.  
  225. Arrowhead allows and encourages bulletin board systems and online services to
  226. distribute the Program by modem as long as the General Terms and
  227. Conditions set forth above are complied with.
  228.  
  229. Distribution of the Program By Itself on Floppy Disk in non-retail
  230. environment:
  231.  
  232. Shareware vendors may distribute the Program alone on one or more floppy
  233. disk(s) as long as the General Terms and Conditions set forth above are
  234. complied with, and provided that other than installation routines which do
  235. not interfere with the proper operation or installation of the Program, no
  236. other programs or files are included on the floppy disk(s) that contain this
  237. Program (i.e., there is no bundling or multi-program disks or packs).
  238.  
  239. Distribution of the Program on CD-ROM's
  240.  
  241. Shareware vendors may not distribute this program on CD-Rom without
  242. obtaining explicit written permission from Arrowhead Interactive.
  243.  
  244. Distribution in a Retail Environment:
  245.  
  246. Shareware vendors may not distribute this program in a retail
  247. environment (in stores or otherwise) without obtaining explicit written
  248. permission from Arrowhead Interactive.
